These Terms of Service ("Terms") govern your access to and use of mobile applications and services (collectively, the "Services") provided by Tallisa ("Tallisa," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Acceptance of Terms

By accessing or using any Tallisa Services, you confirm that you are of legal age to enter into these Terms or have the consent of a parent or legal guardian, and you agree to be bound by these Terms and all applicable laws and regulations. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Tallisa develops and publishes mobile applications including but not limited to:

  • Enki: A personal knowledge management tool designed to help you save and organize information from the internet.
  • Badger: A Todo application for iOS.
  • DankDispatch: An AI-generated short video tool.

Additional applications may be developed and released in the future. Each application may have specific features and functionalities as described in their respective App Store or Play Store listings.

3. User Accounts

Some of our Services may require you to create an account using your Apple or Google account or other authentication methods. We use the provided tokens solely for the purpose of identifying your data and strive to minimize the collection of Personally Identifiable Information (PII). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

4. User Content and Responsibility

You are solely responsible for the content you create, save, and share using our Services ("User Content"). You represent and warrant that your User Content does not violate these Terms or any applicable laws or regulations. We do not endorse and are not responsible for any User Content, including its legality, accuracy, or appropriateness.

While we strive to provide useful services, we do not take responsibility for the loss of any User Content. You are encouraged to back up important information.

You agree not to use our Services to create, save, or share any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

5. AI Features

Some of our applications utilize third-party Large Language Models (LLMs) and other AI technologies to provide various features. Please be aware of the following:

  • The outputs provided by AI features are for informational or entertainment purposes only and should not be considered factual or professional advice.
  • We may utilize recent and similar interaction history to enhance the AI's understanding of your queries.
  • The accuracy of AI responses depends on the quality and context of your data and queries.
  • Your interactions with AI features are subject to the terms of service and privacy policies of the respective AI technology providers.

6. Data Privacy and Security

We are committed to protecting your privacy. Please refer to our Privacy Policy for detailed information on data collection, usage, storage, and your rights regarding your personal information.

7. Paid Features

Some features of our Services may be offered for free during beta periods or may require payment through subscriptions or one-time purchases. For paid features:

  • Prices will be clearly indicated before purchase.
  • Payment will be charged to your Apple ID account or Google Play account at confirmation of purchase.
  • Subscriptions automatically renew unless auto-renew is turned off at least 24-hours before the end of the current period.
  • You can manage and cancel subscriptions in your account settings.

We reserve the right to modify our pricing with reasonable notice. Any changes to pricing will not affect purchases already made.

8. Right to Refuse Service

We reserve the right to refuse service to anyone for any reason at our discretion, including but not limited to violations of these Terms.

9. Your Data Rights

You have the right to access all the data you have saved within our Services. If you wish to obtain a comprehensive export of your data in a machine-readable format, please contact us at [email protected].

10. Intellectual Property

The Services and their original content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by Tallisa or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You may not reproduce, modify, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as generally and ordinarily permitted through the Services according to these Terms.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TALLISA, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Tallisa and its affiliates, officers, directors, employees, consultants, and agents from any and all third-party claims, liability, damages, and/or costs (including, but not limited to, attorneys' fees) arising from your use of the Services, your violation of these Terms, or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
